Bob Romanchek has more than 25 years of experience in consulting on executive compensation matters and has advised Compensation Committees and management at dozens of mid-cap and large-cap public corporations.

Bob provides consulting advice on issues relating to equity and cash-based long-term incentive design and grant structure, short term incentive program design, outside director pay, employment contract design including change-in-control and severance provisions, supplemental retirement and deferred compensation program design and funding, and proxy disclosure. Bob also consults on committee meeting process and corporate governance, executive compensation philosophy development, and capital structure change transactions including private equity buyouts, initial public offerings, divestiture and spinoffs, and bankruptcy confirmation and emergence.

Bob has presented on executive compensation matters for WorldatWork, Corporate Board Member, state bar associations, and industry groups, and has authored articles for the Corporate Board Member Board Governance Series, WorldatWork Journal, the International HR Journal, Benefits Quarterly, the Journal of Compensation and Benefits, CFO magazine, and Board Room Reports.

Bob co-authored the chapter on spinoffs, divestitures and IPOs in “Executive Compensation—The Professional’s Guide to Current Issues and Practices.” He is currently the lead for Compensation Committee members at Corporate Board Member, Inc.’s annual Mid Cap Conference, and serves on Meridian’s Executive Committee.
